Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Bolor Intelligence, Inc. ("Bolor Intelligence," "we," "us," or "our") website, application programming interfaces (APIs), dashboard, software development kits (SDKs), and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Account Registration

To access the Services, you must create an account by providing accurate and complete registration information. You are responsible for maintaining the confidentiality of your account credentials, including API keys, and for all activities that occur under your account. You must notify us immediately at security@bolor.ai if you suspect unauthorized access to your account.

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services to develop, train, or deploy AI systems intended to cause harm, deceive individuals, or violate applicable laws.
  • Attempt to reverse-engineer, decompile, or disassemble any part of the Services, including our neuro-symbolic AI framework (NSAF).
  • Circumvent, disable, or interfere with rate limiting, authentication, or other security features of the Services.
  • Use the Services to send unsolicited communications (spam), or to store or transmit malicious code.
  • Resell, sublicense, or redistribute access to the Services without our prior written consent.
  • Submit data that contains personally identifiable information of third parties without their consent or a lawful basis for processing.
  • Use the Services in any manner that could overburden, impair, or compromise our infrastructure, or interfere with other users' access.

3. API Usage and Rate Limits

Your use of the API is subject to the rate limits and usage quotas associated with your subscription plan. Current rate limits are published in our API documentation and may be updated from time to time. Exceeding rate limits may result in temporary throttling (HTTP 429 responses) or, in cases of persistent abuse, account suspension.

API keys are tied to your account and must not be shared, published, or embedded in client-side code. You are responsible for any API usage associated with your keys. Compromised keys should be rotated immediately through the dashboard.

4. Subscription and Payment

The Services are offered under tiered subscription plans (Free, Pro, and Enterprise). Paid plans are billed monthly or annually, as selected at the time of purchase. All fees are stated in US dollars and are non-refundable except as required by applicable law.

Usage beyond the included quota of your plan is billed as overage at the per-unit rate specified in your plan details. You authorize us to charge your payment method for recurring subscription fees and any applicable overage charges.

We reserve the right to modify pricing with 30 days' prior written notice. Price changes will take effect at the start of your next billing cycle. If you do not agree with a price change, you may cancel your subscription before the change takes effect.

5. Intellectual Property

The Services, including all software, algorithms, models, documentation, and content, are the intellectual property of Bolor Intelligence and are protected by copyright, patent, trade secret, and other intellectual property laws. These Terms do not grant you any ownership rights to the Services.

You retain all rights to the data you submit to the Services ("Your Data"). You grant us a limited, non-exclusive license to process Your Data solely as necessary to provide the Services. We do not use Your Data to train our models or for any purpose beyond delivering the Services you have requested.

6. Data Processing and Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. For Enterprise customers, we offer a Data Processing Agreement (DPA) that addresses GDPR, CCPA, and other regulatory requirements. Contact legal@bolor.ai to request a DPA.

7. Service Level Agreement

For Pro and Enterprise plans, we commit to a 99.9% monthly uptime SLA for the API. Uptime is measured as the percentage of time the API returns non-5xx responses. Planned maintenance windows (communicated at least 72 hours in advance) are excluded from uptime calculations.

If we fail to meet the SLA, you may be eligible for service credits as described in our SLA documentation. Service credits are your sole remedy for downtime and do not exceed the fees paid for the affected month.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY AI-GENERATED OUTPUT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR YOUR INTENDED PURPOSE. YOU ARE SOLELY RESPONSIBLE FOR EVALUATING AND VALIDATING AI OUTPUTS FOR YOUR USE CASE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOLOR INTELLIGENCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

10. Indemnification

You agree to indemnify, defend, and hold harmless Bolor Intelligence and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your data or content submitted to the Services.

11. Termination

You may terminate your account at any time through the dashboard or by contacting us. We may suspend or terminate your access to the Services at any time for violation of these Terms, non-payment, or if required by law.

Upon termination, your right to access the Services ceases immediately. We will retain your data for 30 days after termination to allow for data export, after which it will be permanently deleted. Sections of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) will continue to apply.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. Any disputes arising from these Terms or the Services shall be resolved exclusively in the state or federal courts located in San Francisco County, California.

Before initiating any legal proceeding, you agree to attempt to resolve the dispute informally by contacting us at legal@bolor.ai. We will attempt to resolve the dispute within 30 days.

13. Modifications to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on our website at least 30 days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Services and close your account.
